Heather has over 20 years of experience representing companies in all stages of their life cycles, from formation to exit. She advises clients on a broad range of business transactions, including entity formation, mergers and acquisitions, debt and equity financings, redemptions and cross-purchases, executive employment agreements, and negotiating and drafting commercial agreements.

Heather has particular expertise in the area of business acquisitions, having acted as lead M&A counsel representing both buyers and sellers in numerous stock purchase, asset purchase and merger transactions for clients in a variety of industries. Heather also has extensive experience in helping co-owners negotiate and define the terms of their internal business relationship in partnership agreements, operating agreements and shareholders’ agreements. Heather also counsels individuals in designing estate plans and drafting wills, trusts, healthcare directives and powers of attorney.

Heather is a native of California and grew up in Napa. Heather received her law degree from the University of California, Hastings College of the Law, in San Francisco, where she graduated magna cum laude, in the top 1% of her class, and received Cali Awards for academic excellence (highest grade) in numerous courses. While at Hastings, she also served as co-editor in chief of the Hastings Women’s Law Journal. Heather has a Bachelor of Arts degree from Vassar College in New York, where she graduated magna cum laude. She also spent a year of her undergraduate studies at the University of California, Berkeley. Prior to starting her solo practice, Heather was a partner at the San Francisco firm Greene Radovsky Maloney Share & Hennigh LLP, where she specialized in business transactions for a diverse client base, including real estate companies, retail businesses, professional service providers, agribusinesses and technology companies.

After practicing in a law firm environment for most of her career, Heather has shifted to practicing as a solo practitioner to offer high quality legal services in a more personal, client oriented and billing rate sensitive environment which allows her to focus exclusively on what matters most – connecting with her clients.
